1. Acceptance of Terms

ClipX ("the Service") is operated by Zog Tech, Inc. ("ClipX", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We may update these terms at any time, and continued use of the Service constitutes acceptance of the updated terms.

2. Description of Service

ClipX is an AI-powered video processing platform that helps users identify, clip, and edit viral-worthy segments from longer videos. The Service includes video analysis, clip generation, audio editing, face detection and framing, and social media publishing features.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration.

4. Plans and Payments

The Service offers a free plan and paid subscription plans. Free accounts may submit one video every rolling 24 hours, up to 3 hours long. Free accounts may process, edit and preview clips in the Service; exporting, downloading or publishing a finished clip requires a paid subscription. Paid subscriptions provide unlimited videos and exports subject to fair use, remove the watermark, and add additional features as listed on the subscriptions page. All purchases are processed through Stripe. Subscription fees are non-refundable except as required by applicable law. You may cancel your subscription at any time; access continues through the end of the billing period.

5. User Content

"User Content" means any content you upload to the Service and any content you submit to the Service by link (for example, a YouTube, Twitch or other video URL), together with the clips made from it. You retain ownership of your User Content. By uploading or submitting content, you grant ClipX a limited, non-exclusive license to fetch, process, store, and transmit it solely for the purpose of providing the Service. You represent and warrant that you own the content you upload or submit by link, or that you have the permission of its owner to use it in this way, and that your use does not infringe any third party's copyright or other intellectual property rights.

6. Acceptable Use

You agree not to:

  • Upload or submit by link content that you do not have the right to use or distribute
  • Use the Service for any unlawful purpose
  • Attempt to circumvent any security measures or access restrictions
  • Interfere with the operation of the Service or other users' use of it
  • Upload content that is obscene, defamatory, or promotes violence or hatred
  • Use the Service to generate spam or engage in deceptive practices
  • Reverse-engineer or attempt to extract the source code of the Service

7. Social Media Publishing

The Service allows you to connect third-party social media accounts and publish clips directly to those platforms. By connecting your social media accounts, you authorize ClipX to publish content on your behalf according to your instructions. You are solely responsible for ensuring that published content complies with each platform's terms of service and community guidelines. ClipX is not responsible for any consequences arising from content published to third-party platforms.

8. AI-Generated Analysis

The Service uses artificial intelligence to analyze video content and suggest clips. AI-generated suggestions are provided as-is and may not always be accurate. You are responsible for reviewing and approving all clips before exporting or publishing.

9. Copyright and DMCA

ClipX respects copyright and responds to notices of claimed infringement under the US Digital Millennium Copyright Act. Our Copyright and DMCA Policy explains how to send a takedown notice or a counter-notice. We remove or disable access to material that is the subject of a valid notice. We terminate, in appropriate circumstances, the accounts of users who are the subject of repeated valid copyright notices.

10. Intellectual Property

The Service, its design, features, and underlying technology are owned by ClipX and protected by intellectual property laws. Nothing in these terms grants you any right to use ClipX's trademarks, logos, or branding.

11. Limitation of Liability

To the fullest extent permitted by law, ClipX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to ClipX in the twelve months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through the Settings page.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ClipX operates, without regard to its conflict of law provisions.
